1. Engagement and Scope of Work
1.1. By accepting an engagement with Education and Services Hub LTD (E&S-H) , the trainer/speaker agrees to deliver the agreed-upon training program(s) as outlined in these Terms and Conditions.
1.2. The scope of work includes:
1.2.1. Preparing a PowerPoint Presentation (PPP) with a minimum of 50 slides for each training day .
1.2.2. Submitting a post-training report summarizing key outcomes, participant feedback, and recommendations for future sessions.
1.3. All training materials, including the PPP and any supplementary resources, must be submitted to E&S-H at least 4 days before the course start date for review and approval. Failure to submit materials by this deadline may result in withholding of payment or termination of the engagement.
1.4. Any changes to the scope of work must be mutually agreed upon in writing by both parties.
2. Payment Terms
2.1. Payment will be made according to the agreed rate, as outlined below:
2.1.1. For engagements with less than 3 participants, the standard rate is $400 per Day.
2.1.2. For engagements with 4 or more participants, the standard rate is $600 per Day.
2.2. Invoices must be submitted within 7 days after the completion of the training program.
2.3. Payment will be processed within 30 days of receiving a valid invoice.
2.4. Payments will be made via bank transfer unless otherwise agreed. Bank details must be provided in writing.
2.5. E&S-H reserves the right to withhold payment if the trainer/speaker fails to meet the agreed obligations or standards.
3. Cancellation and Postponement
3.1. If either E&S-H or the trainer/speaker cancels or postpones a session, a minimum of 4 days’ notice is required.
3.2. If E&S-H cancels a training session due to unforeseen circumstances (e.g., low enrollment, force majeure), the trainer/speaker will be notified as soon as possible.
3.3. In such cases, E&S-H will compensate the trainer/speaker for any preparatory work completed up to the cancellation date, based on an agreed hourly rate of $50 per hour .
3.4. If the trainer/speaker fails to provide the required 4 days’ notice for cancellations or postponements, they may be liable for any costs incurred by E&S-H (e.g., participant refunds, rescheduling fees). These costs will be calculated and communicated in writing.
3.5. Similarly, if E&S-H fails to provide the required 4 days’ notice , the trainer/speaker will be compensated for any preparatory work completed up to the cancellation date.
3.6. Rescheduling fees will not apply under any circumstances.
4. Intellectual Property
4.1. All course materials, presentations, and content created for the training program remain the intellectual property of the trainer/speaker unless otherwise agreed in writing.
4.2. E&S-H reserves the right to use the course materials for promotional purposes, internal training, or future programs, provided proper credit is given to the trainer/speaker.
4.3. Trainers/speakers must ensure that all materials used during the training are original or properly licensed. E&S-H will not be held liable for any copyright infringement claims.
5. Confidentiality
5.1. Trainers/speakers agree to maintain the confidentiality of any proprietary or sensitive information shared by E&S-H during their engagement.
5.2. Confidential information includes, but is not limited to:
5.2.1. Participant lists, contact details, and personal data.
5.2.2. Business strategies, internal processes, and operational procedures.
5.2.3. Any other information explicitly marked as confidential or disclosed in confidence.
5.3. Confidential information must not be disclosed to third parties or used for purposes outside the agreed scope of work without prior written consent from E&S-H.
5.4. Unauthorized Contact with Participants :
5.4.1. Trainers/speakers are prohibited from contacting participants directly without explicit authorization from E&S-H.
5.4.2. Any unauthorized contact with participants will result in an immediate penalty of £1500 , payable within 7 days of the breach being identified.
5.4.3. The trainer/speaker waives their right to object or refuse payment of this penalty.
5.4.4. If the penalty is not paid within the specified timeframe, E&S-H reserves the right to pursue legal action solely to enforce payment.
5.5. This confidentiality obligation remains in effect even after the termination of the engagement and aligns with standard UK practices, including compliance with the UK General Data Protection Regulation (GDPR) .
6. Code of Conduct
6.1. Trainers/speakers are expected to conduct themselves professionally at all times and adhere to E&S-H’s code of conduct.
6.2. Unacceptable behavior includes, but is not limited to:
6.2.1. Harassment, discrimination, or unlawful actions.
6.2.2. Unauthorized contact with participants without prior written consent from E&S-H.
6.2.3. Discussing or expressing views on the political situation of participants’ countries.
6.3. Penalties for Breach of Conduct :
6.3.1. Any unauthorized contact with participants will result in an immediate penalty of £1500 , payable within 7 days of the breach being identified.
6.3.2. The trainer/speaker waives their right to object or refuse payment of this penalty.
6.3.3. If the penalty is not paid within the specified timeframe, E&S-H reserves the right to pursue legal action solely to enforce payment.
6.3.4. In addition to the penalty, any unpaid fees will be forfeited, and E&S-H reserves the right to terminate the engagement immediately.
6.4. Trainers/speakers must respect the diversity of participants and foster an inclusive learning environment.
7. Health and Safety
7.1. Trainers/speakers are responsible for ensuring their own health and safety during the engagement.
7.2. Trainers/speakers must report any hazards, risks, or unsafe conditions at the training venue to E&S-H immediately. Failure to report hazards may result in termination of the engagement.
7.3. Trainers/speakers must comply with all health and safety protocols established by the venue or E&S-H.
7.4. E&S-H reserves the right to terminate the engagement if the trainer/speaker’s participation poses a risk to the health and safety of participants or staff.
8. Attendance and Punctuality
8.1. Trainers/speakers are required to arrive at least 15 minutes before the scheduled start time of the training session.
8.2. Failure to attend or significant delays without prior notice may result in penalties, including withholding of payment. A delay exceeding 30 minutes without prior notification will result in a deduction of 10% of the session fee .
8.3. In the event of unavoidable delays (e.g., transportation issues), the trainer/speaker must notify E&S-H as soon as possible.
9. Participant Feedback
9.1. Trainers/speakers agree to participate in post-training evaluations conducted by E&S-H, including reviewing participant feedback.
9.2. Constructive feedback will be used to improve future training programs and enhance the trainer/speaker’s performance. Feedback must be reviewed within 7 days of receipt.
10. Liability
10.1. E&S-H and its staff will not be liable for any loss, damage, or injury caused by the trainer/speaker during the engagement, except where liability is expressly imposed by law.
10.2. Trainers/speakers are responsible for any damages caused to meeting rooms provided by E&S-H or equipment during the training session.
10.2.1.This includes, but is not limited to, damages to furniture, audiovisual equipment, projectors, screens, whiteboards, or other facilities provided by E&S-H.
10.2.2.Trainers/speakers must report any pre-existing damage to the venue or equipment to E&S-H immediately upon arrival.
10.3. E&S-H reserves the right to charge the trainer/speaker for the full cost of repairing or replacing damaged property.
11. Force Majeure
11.1. Neither party will be held liable for failure to perform their obligations under this agreement if the failure is caused by circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, or government actions.
11.2. In such cases, both parties agree to work together to find a reasonable resolution (e.g., rescheduling the training).
12. Termination
12.1. E&S-H reserves the right to terminate the engagement of a trainer/speaker immediately if:
12.1.1.The trainer/speaker fails to meet the agreed standards or obligations.
12.1.2.The trainer/speaker engages in unacceptable behavior or breaches the code of conduct.
12.2. In the event of termination, E&S-H will pay only for services rendered up to the termination date.
13. Data Protection
13.1. Trainers/speakers must comply with the UK General Data Protection Regulation (GDPR) when handling participant data.
13.2. Personal data collected during the training (e.g., attendance records, feedback forms) must not be used for purposes other than those agreed upon with E&S-H.
13.3. Trainers/speakers must delete all participant data within 7 days of the engagement’s conclusion unless otherwise instructed by E&S-H.
14. Use of Photographs and Videos
14.1. Trainers/speakers grant permission for E&S-H to use their photos, names, and biographies in promotional materials, including social media, newsletters, and website content.
14.2. Trainers/speakers who wish to opt out of this arrangement may do so by contacting E&S-H directly via email.
15. Governing Law
15.1. This agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
15.2.
Any disputes arising under this agreement will be resolved through mediation or legal proceedings in the UK.
